Legal Counsel, Listed Clients and Advisory
What will I be doing?
The Listed Client & Advisory businesses specialise in providing advisory and broking services to a range of private companies, listed corporates, investment trusts and financial sponsors. They carry out a wide range of transactions including IPOs, secondary fundraisings, mergers and acquisitions (both public and private) and strategic advice. Our Listed Client Group has an active Corporate Broking franchise, acting as retained corporate brokers for many listed corporates and a Securities business providing sales, trading and research services.
Join this strategically important part of the Bank as our Legal Counsel where you will advise on and manage key legal issues that arise in the operation of an institutional broking business
What are we looking for?
- UK qualified corporate lawyer with c. 4-6 years' PQE gained in a leading UK law firm. Relevant in-house experience a plus
- Experience with both ECM and M&A transactions and close familiarity with relevant documentation (including, but not limited to, engagement letters, NDAs, placing and underwriting agreements, comfort letters, cash confirmations, NOMAD agreements, lock-ins, relationship agreements, sub-underwriting letters / placing letters, due diligence and similar)
- Ability to effectively advise on and manage key legal issues that arise in the operation of an institutional broking business including management, maintenance and negotiation of client terms, research agreements, commercial contracts and drafting of disclaimers
- Delivery of a client-driven service, ensuring swift and pragmatic resolution of legal issues
- Ability to develop strong stakeholder relationships and effectively manage external Legal Counsel on both transaction and relationship level
- Strong communication skills with the ability to communicate legal concepts to non-lawyers in a clear and concise manner and provide practical, clear and concise commercial advice
- Commercially minded – good understanding of market practice and the key commercial issues and able to see ‘the big picture'
- Ability to receive constructive criticism and feedback, and use this to improve skills/practice/behaviours
- Attention to detail, a business enabler and ‘can do attitude'
