Overview

The Corporate Counsel will be an integral member of the PepsiCo Foods Canada (PFC) Legal Team. The corporate counsel will, with the assistance of General Counsel, advise on a variety of legal matters, including the drafting and negotiation of commercial agreements, procurement related due diligence and advice required to support North American supply chain operations, oversight of marketing compliance policies and procedures, EHS and Privacy compliance support and advice, litigation management and dispute resolution. The Corporate Counsel role will also perform legal research, ensure compliance with applicable regulations, policies, and best practices.

Please Note: This is a 12 month contract position

Responsibilities

This individual will also be responsible for the following:

Supply Chain

  • Assist PepsiCo Foods Canada Supply Chain Team with developing legal strategies and policies to advance their business agenda
  • Assist with preparation and review of critical supplier agreements and contract compliance

Procurement

  • Assist PepsiCo Global & PepsiCo Canada’s Procurement Teams with commercial matters, including the preparation and the negotiation of agreements, as well as dispute resolution and policy development
  • Perform due diligence and assist with preparation of diligence materials
  • Draft and review commercial agreements
  • Assist PepsiCo Foods Canada Marketing Team with developing legal strategies and policies to advance their business interests

Marketing

  • Advise on compliance with marketing law and PepsiCo Marketing policies and compliance process
  • Assist the Marketing Team with commercial matters, including preparation of talent agreements, sponsorships and supporting agreements, as well as dispute resolution and policy development     
Qualifications
  • LLB or JD from a leading university, with active admission to Law Society of Ontario or common law provincial bar in Canada
  • 4-8 years’ experience as a corporate lawyer handling commercial matters, and/or compensation and benefits matters at a top law firm or public company (with at least 2 years prior in-house experience strongly preferred)
  • Outstanding writing skills a must
  • Additional experience in Foodservice industry extremely beneficial
  • Creative, innovative team player with positive attitude who displays sound judgment and strong interpersonal skills
  • Strong research skills
  • Excellent oral communications skills
  • High proficiency in Excel and PowerPoint, as well as aptitude for creating effective messaging through graphic design
  • Strong analytical skills
  • Ability to communicate effectively in presentations and express complex strategies in an organized and articulate manner
  • Effective time management skills and ability to meet deadlines, including ability to work under pressure and multi-task
  • Highly organized, detail-oriented and proactive
  • Ability to comfortably interact with executives and business clients
  • Knowledge of the French language would be an asset
