Job Title: Senior Legal Counsel

Location: Remote

Salary: GBP120,000

Our Legal department are recruiting for the role of Senior Legal Counsel to join their team. This is a remote role.

Summary of Role:

Senior Legal Counsel in TSYS's International Legal Department provides expert legal advice and counsel to the Issuer Solutions business and other company personnel, including the officers and directors of the corporation on activities conducted by TSYS and its affiliates. The TSYS International Legal Department supports all TSYS global locations outside of the United States including UK, Ireland, Continental Europe, AMEA and LATAM. These activities include drafting and negotiation of complex agreements, reviewing legal documents and other general legal matters. The Senior Legal Counsel role will have a particular focus on our move to cloud based solutions and expansion within the AMEA region.

Senior Legal Counsel is a senior advisor to the TSYS Issuer Solutions business on the legal issues and risks that may have a material impact to the organisation. You will provides legal advice and recommendations to executives, management and teams within the wider business on complex and strategic legal issues across multiple areas (contract law, data protection, intellectual property, corporate, legal risk, litigation, compliance) of the relevant business and internationally, demonstrating expert knowledge of diverse legal matters and exercising judgement within corporate procedures and practices to determine appropriate actions.

You will be the lead legal advisor managing the negotiation and drafting of complex agreements (in particular related to the outsourcing of financial services). You'll demonstrate skilful insight into critical business problems and emerging international legal issues related to outsourcing of payments processing. You will be comfortable working with and briefing senior leadership on business and legal risks, applicable laws and regulations and providing pragmatic advice and creative solutions to legal challenges impacting the Issuer Solutions business.

What part will you play?

  • Leads in drafting and negotiating complex agreements, reviews legal documents, and provides recommendations.

  • Uses in-depth knowledge of a particular content area, with a broad reach in several other specialties, to work on assignments that require a deep understanding of the company's business needs, strategy, and operations as they relate to the given area of legal specialty. Supports and/or leads legal negotiation with customers and third parties.

  • Prepares, recommends, and executes legal documents by analysing, drafting, negotiating, and reviewing these documents to ensure consistency with respect to the company's philosophy or principles with respect to risk and commercial and legal soundness.

  • Provides guidance on the more complex and unique situations and in diverse matters affecting day-to-day business operations by assisting, advising, investigating, researching, and resolving legal matters within corporate legal policies to ensure that Company personnel are aware of and in compliance with applicable laws and regulations.

  • Engages and coordinates work with outside counsel, when appropriate.

  • Researches and is aware of related issues and changes in the laws to help anticipate the potential impact of changes on the organisation.

  • Has decision-making authority on legal, liability, risk, and legal compliance issues.

  • Maintains up-to-date knowledge in areas of special interest to the company, including, intellectual property, software licensing issues, international and domestic contract law, privacy, data protection, financial services, insurance issues, general corporate matters, servicing, vendor procurement, and other issues affecting outsourcing of financial and payments related services.

What are we looking for in this role?

Minimum Qualifications

  • Graduate of accredited law school (including all other necessary prerequisites for gaining licensure to practise law), and maintaining qualifications and licensure throughout employment.

  • Typically Minimum 6+ years relevant experience (experience in the payments industry preferred)

  • Experience working in the Payments/ IT Industry - Highly Desirable

  • Experience working across a breadth of cultures/locations - Highly Desirable

  • Experience in negotiating complex agreements including cloud agreements - Highly Desirable

  • Experience in Licensing - Desirable

  • Skills / Knowledge - Having broad expertise or unique knowledge, uses skills to contribute to development of company objectives and principles and to achieve goals in creative and effective ways. Having ownership of a function, account or matrix management responsibilities, uses knowledge to ensure success, strengthen relationships, expand the business, and lead matrix teams on complex projects. Strong communication skills, both written and oral.

  • Job Complexity - Works on significant and unique issues where analysis of situations or data requires an evaluation of intangibles. Exercises independent judgement in methods, techniques and evaluation criteria for obtaining results. Creates formal networks involving coordination among groups, both internal and external.

  • Supervision - Acts independently to determine methods and procedures on new or special assignments.
