Responsibilities

Description of the Business Line or Department

The Legal Department in London is a team of lawyers and advisers providing legal advice and support to all London based investment banking business lines and those businesses and legal entities forming part of the SG Group in the UK, and it is divided onto several teams of expertise.

We are responsible for identifying and analysing legal and commercial issues, including communicating advice clearly and effectively, as part of an overall responsibility for managing and overseeing legal risk for the business lines we support. We are also responsible for managing our own conduct risk, promoting a positive culture of good conduct and compliance.

The Trading and Prime Agreements (TPA) legal teams are divided into 3 groups: 1) Master Agreement Negotiation in charge of the legal onboarding process of trading agreements in accordance with SG policies, procedures and guidelines; 2) Transversal team in charge of COO & Systems, Netting programme, Norms and Regulatory implementation; and 3) Prime Services in charge of the legal aspects of the prime brokerage activities.

TPA’s purpose is to assist the business in growing its franchise with appropriate legal coverage. protect the SG Group by negotiating appropriate standard agreements in accordance with prevailing policies, and ensure regulatory compliance in the master trading agreement context.

The Prime Services team is responsible for assisting the business needs of Prime Services booked within SG clearing hubs whilst also protecting the legal interests of Prime Services and its affiliates by observing the SG Group’s standards and procedures, implementing relevant policies and working closely with other relevant stakeholders (Compliance, Risk, Credit, Finance, Operations etc.) to ensure the operating model for execution services, clearing and prime brokerage services are matching the applicable legal and regulatory frameworks.

  • Drafting legal agreements for the Prime Services business line
  • Assisting the Prime Services business line in relation to legal and regulatory requirements
  • Supporting the SG International Ltd Company Secretary
  • Giving general assistance to lawyers in their daily activities

  • Preparing first drafts of documents including Clearing Agreements, ISDA documents and confidentiality agreements
  • Assisting with client outreach projects
  • Undertaking research
  • Supporting the SG International Ltd Company Secretary
  • Assisting with the execution of documents
  • Updating the legal documentation database

Profile required

Competencies

  • The ideal candidate will hold a degree or equivalent in Law
  • Some Legal work experience is advantageous
  • Excellent written and verbal communication skills
  • Flexibility and adaptability - must be able to respond to changes in the regulatory environment
  • Ability to make decisions
  • Good analytical skills
  • Teamwork - must be able to work effectively with a number of different departments and business heads
