Overview of the role

As a member of the legal team, you will be reporting directly to the First Derivative Chief Legal Officer and have broad oversight of the team’s deliverables. You will provide legal and commercial advice in support of First Derivative's business and lead, structure, draft and negotiate client transactions including master services agreements, statements of work, supplier, partner and consultancy agreements, data transfer agreements, and advise on requests for proposal.

The First Derivative Senior Leadership Team will look to you for guidance on legal risks associated with transactions and offering prudent, commercial and creative solutions. You will lead, educate, and advise junior legal team members and partner with the Chief Legal Officer, and at times, the Group Legal Officer on larger project within First Derivative and as need be within the Group.

Responsibilities

  • Have broad responsibility for commercial legal support and serve as legal point of contact for the regional Sales teams and Business Lines.
  • Provide well-reasoned, yet practical day-to-day and strategic advice.
  • Negotiate and identify independently creative legal solutions for commercial transactions, including customer & supplier agreements and data processing agreements, non-disclosure agreements.
  • Develop and revise contract templates as necessary.
  • Develop education, information, and training materials for the sales teams and Business Lines on relevant topics such as the contracting process, key contract issues. data privacy, and legal compliance in the sales, delivery and contracting processes with the goal of fostering efficiency and compliance.
  • Collaborate cross-functionally across the organization to ensure agreements are consistent with internal policies and processes.
  • Advise internal clients regarding legal issues including compliance privacy and other regulations.

The Candidate

  • A lawyer in good standing, licensed to practice in UK/Ireland/Northern Ireland, an additional other jurisdiction (EMEA, US) desirable.
  • 4+ years of combined experience practicing as a technology transactions or commercial Legal Counsel within a law firm and/or technology company.
  • Deep subject matter expertise in commercial transactions, and contract negotiations
  • Excellent drafting, written and verbal communication skills and ability to adapt legal requirements in balanced, creative and pragmatic ways to facilitate clear and open communication at all levels of the organization.
  • Knowledge of privacy regulations (GDPR, e-Privacy Directive, etc.) and the ability to incorporate and revise those evolving requirements into the customer and supplier facing agreements.
  • Excellent team player qualities and a willingness to take on additional responsibilities, including training junior team members.
  • English proficiency (speaking and writing).
  • Commercial awareness and ability to collaborate with colleagues and take a business-oriented approach while identifying and balancing legal risks.
  • Exceptional analytical skills, independent judgment, a desire to learn, and an ability to take on and prioritize a wide variety of complex matters.
  • A proven track record in managing competing priorities and deadlines.
  • Strong relationship building skills, including the ability to advise and influence internal clients.
  • Business partnering mindset to help guide our colleagues and business in understanding and using the optimal legal solutions to achieve our business goals.
  • Prior experience working in-house at a multinational company is desired.

Location

This role will be based in our Belfast or Newry office & will offer a Hybrid working environment.
