Role:
- Responsible for managing all the Company Secretarial matters of the Company and would include managing all aspects of Board meetings locally and internationally (mainly UK, Jersey and Lux companies)
- Ensure emphasis on UK AML, Bribery Act and FCA Compliance and related legislation. To ensure Jersey legal and regulatory compliance day to day. To craft and monitor a Compliance Framework for the business including all-encompassing company-wide Compliance Policies and Procedures, Communications, Training, Monitoring and Whistle Blow channels
- As Company Secretary, responsible for drafting, planning and managing the annual corporate governance calendar for all shareholders, Board and Committee meetings including subsidiary Boards.
- Responsible for governance requirements, planning, management of the meetings: prepares & issues notice agenda, and all supporting documents.
- Ensures notification to appropriate individuals within and outside the company of action points arising from Board meetings, providing copies of resolutions or extracts from the minutes where appropriate. Monitors and reports status to the Board members regularly.
- Maintaining statutory books and records
- Ensuring compliance with all relevant regulatory and legal requirements
- Providing advice to the board on governance, compliance and constitutional matters
- Managing relationships with shareholders and stakeholders
- Contributing to the strategic direction of the company
- Overseeing the annual report and accounts process
Profile
Company Secretary
Essential:
- Excellent knowledge of corporate governance principles and regulatory compliance
- Demonstrable working background of managing board and committee meetings
- Outstanding knowledge of UK Corporate Governance Code and the Companies Act 2006
- High level of integrity and professionalism
- A degree in Business, Law or Finance is preferred. CGI Professional qualification - desired
