Job description

The Corporate Governance Officer will work as a member of the Corporate Governance team to provide professional and efficient secretariat support services to the Trust Board and its committees, and the Council of Governors, ensuring the delivery of sound Corporate Governance and the effective and efficient coordination of the flow of business.

MAIN DUTIES/KEY RESULT AREAS:

Secretariat / Meeting Support

Manging the end-to-end meeting life cycle in line, including annual work programmes, within the Trust’s Constitution, Standing Orders, and relevant terms of reference.

Coordinating the drafting of named committee meeting agendas, working in conjunction with the Chairs of the committees and executive leads to plan, arrange and produce agendas and reports, including arranging preparatory planning meetings between Executive Director Leads and Committee Chairs.

Ensuring the timely circulation of agendas and papers, to allow members to fully consider the issues in advance of any meeting and in line with the Corporate Governance standard processes and the Trust’s Standing Orders, Standing Financial Instructions and Scheme of Delegation and Reservation.

Coordinating the collation and distribution of such information, documents or other papers for Trust Board and its Committee meetings, and Council of Governors, working with colleagues across the Trust.

Ensuring meetings are appropriately recorded by way of formal approved minutes, including a clear record of challenge made in debate.

Ensuring meeting decisions and actions are recorded accurately and communicated to those required to implement them in a timely way.

Ensuring that an effective system is in place to monitor delegated actions and tasks such that they are managed appropriately and to the required timescales.

Compiling and maintaining an annual agenda planning cycle for meetings, as directed by the Head of Corporate Governance, to ensure the workflow between these meetings is properly planned to meet internal and external deadlines and such items of business are being considered at the appropriate time in the most appropriate forum, including the Terms of Reference.

Assisting in the facilitation of regular review and complete the annual effectiveness evaluation of Committee performance. This includes a Committee self-assessment, monitoring adherence to Committee Business Cycles and considering regular feedback from the Committee. Analyse the information and prepare an annual report which includes outcomes, recommendations and inform any revisions to terms of reference.

Ensuring Committee meeting documentation / files are maintained including checking meeting quorum and ensuring apology logging. Ensure membership and distribution lists are accurately maintained and reviewed regularly.

Coordinating the logistical arrangements for the Committees.

Acting as a key point of contact for the Corporate Governance Team and support the provision of administrative support where necessary.

Other duties

Planning and management of meetings and events as required by the Corporate Governance Team, including venue and accommodation review and bookings, hospitality, and equipment.

To produce reports, documents and presentations using an advanced level of IT skill, using packages including Word, PowerPoint, Excel, and other databases as relevant to the office.

Maintain administrative and information resources, for example shared folders, databases, trackers, and logs.

The post holder will provide cover across the Corporate Governance team during times of absence, where appropriate and when required.

This is an interim role, initially for 3 months, but with view of extension. Hours of work are 37.5 hours a week.
