About the Department & Team:

Our team plays a central role in supporting the governance and administration of our legal entities in the UK and Europe and in supporting the governance of all Liberty Mutual Group companies outside the US. We partner with the business, our boards, local company secretaries and key stakeholders to deliver exceptional service and enable oversight and decision making.


Key Responsibilities

  • Establishing and running the International Corporate Governance function as a centre of excellence
  • Forming effective relationships and ongoing liaison with local company secretaries, service providers and directors where appropriate, as well as Legal Department colleagues
  • In conjunction with key stakeholders, drafting and embedding across international legal entities a framework and standards for corporate governance
  • Identifying and implementing opportunities for adding value, efficiencies, consistent approaches and reducing complexity.
  • Leading on liaising with the Liberty Mutual Group Corporate Secretary on a range of key corporate governance issues.
  • Leading the management of the legal entity impact of corporate transactions throughout the international legal entity network
  • Responsible for overseeing integrity of legal entity data and embedding use of Diligent Entities throughout the international entities
  • Managing all queries from international company secretaries and service providers including support in meeting their legal and statutory corporate governance requirements and accessing key stakeholders and documentation in Liberty Mutual Group
  • Drafting clear and accurate minutes and actions in a timely manner.
  • Liaising with non-executive and executive directors as required
  • Other ad-hoc duties, as required.


Skills and Experience

  • Established understanding of subsidiary governance within large international organisations
  • Confidence, maturity and gravitas to deal effectively and influence key decision making at senior level
  • Clear, concise communicator with strong relationship / inter-personal skills
  • Ability to build trust quickly and effectively collaborate and network with stakeholders in multiple jurisdictions, ensuring all relevant viewpoints are taken into consideration.
  • Integrity and high ethical standards.
  • Previous experience in Financial Services and/or a listed environment is desirable
  • Able to work proactively under own initiative, prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations.
