Legal Counsel (M&A)

We are currently accepting applications for the position of Legal Counsel to support a global retail business, located in Cork. The selected candidate will report to the Senior Counsel and undertake various responsibilities, including:

• Facilitating efficient Due Diligence processes.
• Offering legal advice on a wide range of issues, including commercial, employment, competition, and property law matters.
• Drafting and negotiating transaction-related agreements such as confidentiality agreements and heads of terms, as well as reviewing and negotiating transactional documents prepared by external legal professionals.
• Guiding and advising the business on necessary transactional documentation.
• Managing workload effectively and ensuring timely project completion.
• Handling governance-related matters to facilitate transaction finalization.
• Maintaining accurate records and filing executed documents.
• Overseeing external legal advisors and legal expenditure.
• Updating legal trackers and presenting reports to relevant Steering Committees and MPRI Legal Counsel.

While the primary focus will be on the Retail Business Unit, occasional support may be required across the organization as needed.

The ideal candidate should:

• Be a qualified solicitor.
• Possess a minimum of 3 years of experience in private practice/in-house, with specific expertise in commercial law (especially mergers and acquisitions), employment law, competition law, and property law.
• Demonstrate exceptional project management, communication, presentation, negotiation, and stakeholder management skills.
• Exhibit a solution-driven approach and the ability to manage diverse workloads, external legal providers, and fast-paced environments while meeting tight deadlines.
• Collaborate effectively within a team environment.
