About the role
This is an exciting opportunity for a qualified Assistant Company Secretary to join our company secretariat team partnering with our Group Operations. As the Assistant Company Secretary, you will be responsible for day-to-day company secretarial support duties working closely with the Legal, Regulatory, Compliance, Risk, Finance and HR teams to ensure full company compliance.
You will be
  • Supporting the production of the Annual Report and Accounts as well as coordinating with other teams to draft and review the non-financial aspects of the report. You will also assist with the verification and compliance of the Annual Report and Accounts.
  • Assisting with Board and Committee meeting preparation, including drafting governance-related Board and Committee papers.
  • Leading on the drafting and distribution of the AGM ancillary documents to shareholders, including Notice of Meeting.
  • Supporting the Senior Assistant Company Secretary on the management of Ocado Share Schemes, assisting with responding to shareholder and employee queries regarding the shareholdings and incentives, including liaising with the registrar, People team and share plan administrators.
  • Facilitating the smooth operation of the subsidiary companies, including helping to organise board committee meetings and distribute papers in a timely manner, maintaining the statutory records and books for all Group companies (Circa 40 companies in the UK and overseas) and ensuring all Companies House (and equivalent) filings and subsidiary accounts are submitted and the Group Structure Chart is maintained.
  • Supporting the Senior Assistant Company Secretary to deliver a new subsidiary governance framework.
  • Supporting transaction work, including due diligence requests and obtaining board approvals.
  • The right person will be up-to-date on legal, company law and regulatory environment developments and appraise Company Secretary; assist with development of directors and induction of new directors.
  • Monitoring and ensuring compliance with the continuing obligations under the UKLA Listing Rules and other rules; prepare and release routine Stock Exchange announcements; maintain insider lists; make listing applications; assist in compliance with the Ocado Share Dealing Code and deal with requests from employees and directors.
About you (experience we seek)
  • An experienced and qualified chartered secretary (ACS or equivalent)
  • Law or Business degree preferable.
  • Listed company experience preferable.
