The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters,and leads and implements a world-class corporate governance practice throughout the Group with the provision of end-to-end corporate governance advice. The CG&S function consists of c.240 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.
We are currently seeking an experienced individual to join this team in the role of Assistant Group Company Secretary.
In this role, you will support the team’s provision of world class, corporate governance and secretarial services to WPB, including relevant committees and forums. The role holder will support the team on governance activities, including, but not limited to:
- Working with a dynamic and fast-paced area of the WPB line of business to provide company secretarial services to several entities including, but not limited to, drafting of agendas, minutes and actions, planning of meetings as required, researching and drafting of papers; and managing paper collation and distribution;
- acting as the central point of contact for senior stakeholders on all aspects of corporate governance matters relating to the relevant entities;
- acting as the key contact, and maintaining an overview from a corporate governance perspective, for several related entities in other jurisdictions;
- managing, and ensuring compliance with, best practice governance procedures;
- delivering world class governance support; and
- supporting/leading ad hoc projects as required.
To be successful in this role you should meet the following requirements:
- Qualified Company Secretary or lawyer is essential;
- Comprehensive understanding and experience of corporate governance models, theories and practice in a financial services environment is essential;
- Skilled communicator with a track record of influencing a wide range of audiences ensuring alignment and common purpose;
- Proven negotiation skills at a senior level demonstrating gravitas and providing confidence to key stakeholders is essential;
- Knowledge of company secretarial, governance and regulatory environment pertaining to large complex financial services organisations is essential;
- Excellent written communication skills and ability to absorb complex information and simplify is essential;
- Ability to operate at pace and adapt to a fast changing internal and external environment.
The base location for this role is London or Edinburgh and Birmingham.
