Job description

  • Permanent Role
  • Commercial Counsel - UK Qualified - A solicitor admitted to the roll with a current practicing certificate
  • Must have UK Commercial Law Experience
  • Theale\Reading (3 days per week in office)
  • You must be eligible to work in the UK without the need for Sponsorship

Main purpose

Provide legal support, advice and guidance to the Procurement, Commercial and Operational teams in the business on all types of commercial matters (including commercial disputes) including drafting and negotiating contracts where necessary.

Work with the Senior Commercial Counsel to help manage external legal suppliers and external legal spend.

Provide support to the Senior Commercial Counsel to drive innovation and efficiency to the commercial legal process.

Build strong working relationships with The Company's business teams as well as external contacts including Shareholder and, Customer legal teams.

Key Responsibilities

Commercial

  • Provide legal support and advice to The Company's commercial or procurement projects and the procurement of goods and services to support The Company's delivery of passive infrastructure services across the mobile telecommunications sector.
  • Act as the main point of contact for the Procurement and Operations teams for day-to-day legal queries and general support.
  • The role will include the drafting and negotiation of legal documents across a wide range of areas including IT, Operations and general Commercial and providing input into business cases, strategies and governance documentation.
  • Agreements will range from cloud services contracts, recruitment, facilities management and goods and services agreements and NDAs
  • Provide clear advice as to the risk and issues relating to a particular deal, mitigating risk and providing pragmatic solutions where necessary.

Master Services Agreement

  • Assist Senior Commercial Counsel with queries and drafting contract variations in relation to our two Master Services Agreements with Stakeholders
  • Template document Management
  • Assist with the upkeep, maintenance and overall transformation (in time) of our template document suite which forms the basis of our procurement transactions.
  • Continually update the suite in accordance with the changing legal landscape and ensure The Company's customer obligations are adequately backed off to supply chain.

Legal Process Transformation

  • Contribute to the continual improvement of the Legal & Compliance Team's function through adding value to the way we progress legal work streams.
  • Identify areas that are fit for transformation and devise new solutions, often embracing IT that can deliver results more efficiently.

Legal Supplier management

  • Build effective working relationships with our legal suppliers to ensure work is dealt with in a manner, and at a cost, that is satisfactory to The Company's.
  • Foster close working relationships with our legal supplier teams which requires daily management and support.
  • Champion our values and ensure our legal suppliers are demonstrating the right behaviours and delivering at optimum level.

General Legal Team functions

  • As part of a busy Legal & Compliance Team, there are wider tasks that arise and form part of the role; from organising and attending meetings with suppliers, collaborating with the wider team and recording minutes, to providing legal training to other teams within the business. This role requires a strong team player who is enthusiastic and willing to immerse themselves within the team culture.

What is needed for the role:

  • UK qualified solicitor with a background in practicing in commercial law
  • 2-5 years' PQ experience in commercial transactions.
  • Experience working within a busy in-house legal team
  • Breadth of commercial contract experience.
