Corporate Development Manager
Job purpose
Job Category - Business Development, Licensing & M&A: Search, evaluation, negotiation and execution of inorganic growth projects such as Mergers & Acquisitions (M&A) and licensing, strategic portfolio reviews to identify potential divestment candidates and capital market transactions such as acquisition financing and other capital raising transactions.
Corporate Development: This team is responsible for leading financial evaluation of inorganic growth projects globally for the Board, CEO, CFO and Head of BD&L and M&A in collaboration with deal leads from Business Development.

Corporate Development team is responsible for leading financial evaluation of inorganic growth projects globally for the Board, CEO, CFO and Head of BD&L and M&A in collaboration with deal leads from Business Development. This team sits within the wider BD&L and M&A team which reports to the Haleon CFO. This position will report to the Head of Corporate Development.
The team manages a fast-moving portfolio of strategic projects on behalf of the Haleon Executive Team (HET). These strategic projects mostly relate to the acquisition of companies or brands by Consumer Healthcare and range in value from a few £’m to in excess of £1bn. Each project is unique. The projects can be complex in nature, involving the participation of many different functions, and in some cases third parties and external advisors. The team needs to work flexibly, driven by changing priorities and extremely tight deadlines.
As a Corporate Development Manager, you will principally be responsible for leading Corporate Development projects in close partnership with deal and finance leads. Depending on interest and experience gathered, you will also have the opportunity to lead deals on your own.
This is a high-profile role, which can interact with HET members, external advisers and senior management. It requires strong financial and evaluation skills together with a broad understanding of the company’s business and the industry in which it operates. Excellent interpersonal and communication skills, an innovative and “self-starter” approach, an ability to deliver high quality product to tight deadlines and total flexibility of response to changing business requirements are critical to success in this role.

Key responsibilities
Working independently on valuation of a target company / asset using a range of public / internal sources, analysis of the financial impact of transaction (acquisitions, divestments, licensing) on Haleon and the preparation of briefing documents for a HET/Board audienceBuilding, developing and maintaining very complex spreadsheet models (often under very tight time constraints) and to present outputs clearly and in a highly professional formatProvision of financial partnering and project support, including identification, evaluation and execution of strategic business opportunities, equity purchase and sale, competitor analysis, scenario planning and analysis and other ad hoc work as requiredPreparing impact analyses (e.g. earnings accretion / dilution) showing the financial effects of inorganic opportunities tracking and reporting on market intelligence (e.g. M&A activity / precedent transactions) in Haleon’s marketsOther occasional duties include (i) financial review of Haleon portfolio / brands, (ii) review of capital expenditure HET proposals, (iii) calculation of annual WACC rate and securing approval from auditors, (iv) preparation of valuations relating to impairment testing of goodwill, intangibles and entity carrying values (as required), (v) benchmarking against competitors (vi) preparation and updating of reports on Haleon target universe and competitor products (vii) making recommendations on corporate actions in relation to Haleon’s equity investments and (viii) maintenance and improvement of team’s standard business combination and other financial modelsAbility to consider Haleon as a whole as well as external stakeholders when assessing opportunitiesAbility to build partnerships across all functions and regions/BUs eg BD, Corporate Finance, Regional FDs, QSC, Legal, Commercial, etcAbility to lead external interactions in a professional mannerAbility to plan and work effectively to often short timelines and flexibility to cope with changing priorities at short noticeAbility to understand and adapt working style to suit different situationsAbility to exercise high levels of judgmentHigh level of confidentiality requiredQualifications and skills
Essential
We are looking for professionals with these required skills to achieve our goals:
Degree level education or equivalent.Extensive corporate finance experience with emphasis on financial evaluation of corporate transactions and valuation methodologies gained in a blue-chip industry, transaction advisory, investment banking, and/or strategic consulting environment.Ability to review, understand and operate complex financial models as well as effectively utilise their outputs.Demonstrated ability to use various valuation techniquesStrong analytical skills and ability to gather, analyse, simplify and summarise detailed and complex information from a range of sources Accuracy with strong attention to detailExpert proficiency in excel and good PowerPoint skillsPreferred Qualifications:
If you have the following characteristics, it would be a plus:
Professional finance qualification (ACA, CIMA, MBA, CPA) and understanding of commercial legal concepts.Sound understanding of the major functional areas of the consumer healthcare business and an overview of the whole industry and its playersKnowledge of Bison/Power BI at a Corporate level and Corporate structure; ability to extract financial data from systemsEffective knowledge of all accounting standards, including IFRS, US GAAP and Sarbanes-Oxley (if not an accountant)Diversity, Equity, and Inclusion
