Team/Role Overview
This role would suit ideally a candidate with extensive Company Secretarial/Board Governance experience and experience carrying out a range of governance related work in supporting regulated and unregulated legal entities. The role will face a wide range of internal and external stakeholders and departments and at a senior Executive level. The team is based across Belfast and Dublin and includes a range of experience, ideal for someone who is keen to continue to develop their governance career. A successful candidate working within our busy but valued team will gain exposure to working with both our senior Executives and Non-Executive Board members. The candidate would gain experience of both regulated legal entity governance and management of non-regulated entities.
What you'll do
You will be working within our busy but valued team will gain exposure to working with both our senior Executives and Non-Executive Board members. You would gain experience of both regulated legal entity governance and management of non-regulated entities. You will have the opportunity to work on a full spectrum of projects from regulatory change implementation to entity liquidations and incorporations. The Company Secretarial team have interactions with almost every business, product and function, giving a 'birds eye view' of the firm.
Key tasks, which may be required as part of the role, include:
  • Organizing meetings, liaising with all stakeholders, including senior management, preparation of agendas and attendance at board meetings.
  • Preparation of draft minutes and following up with the business in respect of action items to be completed.
  • Reviewing and circulating Board materials as and when required within the timeframe allocated.
  • Provide guidance and support to Board governance related matters, including, but not limited to, Board Effectiveness Reviews, Succession Planning and Compliance reviews.
  • Independently responding to email queries and proactively engaging with the business.
  • Oversee and maintenance of Power of Attorney process.
  • Supporting junior members of the team to develop their professional skills.
  • Participation in annual and ad hoc projects and activities, as required.
  • General company secretarial duties
  • Keeping abreast of relevant industry developments and regulatory changes.
What we'll need from you
  • Previous Company Secretarial experience is essential
  • Experience in financial services and/or Funds Industry in either in-house or experience working with financial services clients, would be an advantage.
  • Strong minute taking skills are a prerequisite for the role
  • Meeting Management skills
  • Attention to detail and excellent organizational skills
  • Works well as part of a multi-jurisdictional team and ability to travel if required
  • Excellent verbal and written communication skills
Holding of chartered status from the Corporate Governance Institute (formerly Institute of Chartered Secretaries and Administrators - ICSA) would be an advantage.
Exceptional candidates who do not meet these criteria may be considered for the role provided they have the necessary skills and experience.
