The Corporate Governance & Secretariat function (CG&S) serves as principal advisor to boards of directors on Corporate Governance matters and leads and implements a world-class Corporate Governance practice throughout the Group with the provision of end-to-end Corporate Governance advice. The CG&S function consists of c.260 FTE across 25 countries. It is led globally by the Group Company Secretary & Chief Governance Officer who reports directly to the Group Chairman.

Reporting into the Holdings CG&S Team, the Governance Trainee is responsible for working flexibly across sub teams to support the provision of world class Corporate Governance and secretarial services to the Holdings Board, its committees and executive committees as required.

We are currently seeking two individuals to join the team in the roles of Governance Trainees. Dependent upon the needs of the business, we expect the role holders to rotate through key responsibilities over a period of approximately 2 – 3 years. Our intention is to provide the successful candidates with exposure and experience across the breadth of responsibilities for the Holdings CG&S Team.

Your responsibilities will include:

  • Supporting the provision of first class Corporate Governance advisory and secretarial support to Boards and Committees, ensuring alignment with other Executive meetings, streamlining and reducing duplication where possible;
  • Supporting the planning, scheduling and review of relevant materials submitted to the various Committees and advising on all associated governance matters;
  • Supporting the improvement of board and committee materials, including providing guidance on the use of new reporting templates;
  • Helping to build Board paper packs for boards and committees, ensuring access rights are appropriately allocated and materials are handled securely;
  • Supporting with the preparation of key CG&S deliverables, including the Annual Report, Interim Report and AGM; and
  • Supporting compliance with company law, regulations and other administrative tasks for the Group and key subsidiaries.
Requirements

To be successful in this role you should meet the following requirements:

  • An understanding and Knowledge of Corporate Governance principles through studying either Law or Corporate Governance or gained from experience in a Corporate governance and Secretariat environment
  • Understanding of global financial organisations;
  • Financial services / UK regulatory knowledge
  • Lateral thinking/problem solving/creativity;
  • Excellent analysis, design and problem solving skill with strong attention to detail written and verbal
  • Confidence to work well with all levels of management, handle confidential and sensitive information, work independently and under pressure and prioritise multiple tasks;

Ideally, we are looking to hire one Trainee in our London Head Office and one in our Edinburgh office, however, this can be flexible and we envisage that there will be opportunities to travel between the two offices in line with business requirements. You’ll achieve more when you join HSBC.
