An exciting opportunity has arisen for a highly motivated self-starter to join Norgine’s Legal Team as a Senior Legal Counsel to support all areas of the business and work on a variety of multi-jurisdictional work.

The Legal Team is a well-respected, entrepreneurial team located in several different European offices. The Legal Team, including Patent & Trademark, Data Privacy and Safety, Health & Environment, reports directly into the Chief Legal Officer. It is an integral part of the organisation and the Chief Legal Officer sits on the Executive Committee of the Norgine Group. The Legal Team helps to drive forward Norgine’s strategic priorities of growing our existing portfolio of brands, achieving total business effectiveness, optimising our supply chain, in-licensing or acquiring innovative products and developing, launching and growing innovative brands.

Overview and role responsibilities :

As the selected candidate you will have the opportunity to actively and positively engage with all business units globally to help us achieve our commercial objectives, ensure compliance with applicable law and oversee the efficient delivery of legal services by outside counsel.

Key responsibilities include:

  • Facilitate overall corporate objectives and support Norgine’s strategy while ensuring compliance with applicable laws and regulations and minimising risks.
  • Advise the business on issues or opportunities presented by transactions and ordinary course of business and ensure that Norgine legal and regulatory standards are maintained at their high level.
  • Draft, review, negotiate and implement a wide variety of commercial agreements and legal projects in the pharmaceutical and medical device sector for a European specialty pharmaceutical company operating internationally, including transactional and commercial contracts with suppliers, manufacturers, service providers and other partners, as well as intra-group agreements.
  • Engage with the business including senior leaders directly to provide legal advice to various departments, e.g. Commercial, Marketing, Operations, Development, Finance, Corporate & Business Development etc.
  • Oversee compliance, proactively identify and develop commercial solutions for issues or disputes arising in Norgine’s business, and manage risk including disputes and litigation proceedings on a cross-border basis.
  • Collaborate with other members of the Legal Team and external lawyers internationally in cross-border tasks and projects.
  • Advise on business development opportunities, including by assisting in legal due diligence and drafting/reviewing related corporate or commercial documentation (e.g. share/asset purchase agreements, distribution/licensing agreements, financing agreements).
  • Drive continuous improvement initiatives for a global and international Legal Team, including preparing and updating template agreements, policies, processes and training materials.

Behaviours, Skills and Experience

  • Significant post qualification experience (PQE) - 5-7 years recommended.
  • Significant experience in a reputable (preferably) international law firm is required.
  • Experience with commercial matters and contracts, corporate finance, M&A and/or licensing matters is required.
  • Experience in the pharmaceutical sector would be advantageous.
  • A self-starter with a positive mindset who takes the initiative and is results oriented.
  • Highly motivated and committed with the ability to build and develop rapport with internal and external stakeholders.
  • Team member as well as leader.
  • Strong verbal and written communication skills, with the ability to present effectively to groups.
  • International outlook.
  • English is the main language for the role and strong legal English language skills are a must; additional European languages are a plus.
  • Travel (mostly in Europe) may be required.
