Team:Trustee - Transaction Manager

Status:Full Time

Hours:37.5 hours per week

Salary - £60,000

COMPANYOur client is a leading provider of note trustee and security trustee services onsecuritisations, structured financings and asset acquisitions, debt issuances, aviation transactions and defaults & restructurings.DESCRIPTION

The Trustee Transaction Manager is responsible for closing a managing a portfolio of structured finance transactions in conjunction with other teams with our client. The Trustee Transaction Manager will liaise closely with other transaction parties during the setup of the transaction and participate in the setup of the structure, ensure that the obligations and protections of our client as trustee are appropriately reflected in the transaction documents, and coordinate the role in any issues that arise over the life of the transaction. The Trustee Transaction Manager is responsible for following internal procedures for the administration of the transactions to ensure the proper discharge of company duties and the delivery of a high quality service to clients at all times.

RESPONSIBILITIES

Mandated Transactions:

  • Review and comment on the full suite of transaction documents in accordance with company standards to ensure the trustee is fully protected.
  • Engage and liaise with external counsel to co-ordinate comments on the transaction documents
  • Liaison with all external transaction parties (including the client and its counsel) and internal company teams involved in the transaction.
  • Liaise with Directors regarding any commercial aspects of the transactions.
  • Attend client meetings and signings.

Data Management:

  • Ascertain all covenants and obligations relevant for the trustee, and enter this, along with the relevant transaction details into the relevant database in accordance with company procedures.
  • Arrange full and timely handover to the relevant internal teams as required, including preparation of procedural notes and instructions as required.

Closed Transactions:

  • Manage existing transactions in conjunction with other teams within the company.
  • Working through and waivers and amendments on existing transactions with all parties involved, and engaging counsel for the trustee.
  • Working through any other matters on existing transactions raised by the clients, bondholders and/or investors in a timely manner.
  • Working through any defaults and/or restructuring of existing transactions, engaging trustee counsel and working with the internal and external team, whilst at all times the right and obligations of the trustee are protected and the duties to the bondholders and/or investors are upheld.
  • Dealing with ad hoc transaction enquiries and/or relevant correspondence.
  • Record time spent on relevant activities for client billing purposes in accordance with company procedures.
  • Review invoices in accordance with fee letters and assist with financial control.

Business Development:

  • Assist the Business Development team in pricing initial quotes for certain transactions
  • Assist the Business Development team in understanding company trustee capabilities.
  • Become recognised in the market as a known Trustee Transaction Manager to promote companies trustee service by attending market events and conferences.
  • Build relationship with the relevant associates and partners at large and mid-ranking law firms
  • Contribute towards business development and marketing objectives by:
  • Organising post deal closure marketing reviews and meetings with clients in conjunction with the business development team;
  • Ensuring details of working party lists, transaction parties and regular contacts are in the relevant database and kept up to date;

SKILLS / EXPERIENCE

  • Solid experience in reviewing securitisation and structured finance documentation.
  • Experience of trustee work is essential.
  • Experience in defaults and restructurings is preferable.
  • An excellent level of communication skills, both oral and written, and a high level of interpersonal skills, giving the ability to work with all levels, both within and external to the company..
  • The ability to balance competing priorities and meet deadlines within the context of a demanding workload.
  • A demonstrable ability to understand, consider and discuss complex securitisation and structured transactions.
  • The ability to work independently, and to work effectively as part of a team, both within the trustee team and in a multi-disciplinary setting.
