UK Company Secretary

Reporting to: UK General Counsel  

 

Position Summary:

The UK Company Secretary will play a lead role in the implementation in thedesign and execution of corporate governance frameworks and company secretarial initiatives across all elements of the UK business.   

 

Working closely with our UK General Counsel, senior stakeholders, independent non-executives and regularly liaising with regional workstreams and services lines in FSO, UKI and EY’s Executive layer, the role will have responsibility for successfully setting and executing the strategy of EY’s corporate governance and Company Secretarial legal requirements for a UK business of more than £3.76bn in revenue and 800 Partners. 

 

The role will report to the UK General CounselThe role will have a seat on the GCO extended Leadership Team and will be expected to build strong relationships with all members of the firm’s leadership including Service Lines, Sectors and Functions. The UK Company Secretary will also be expected to assume a key role invarious firm-wide initiatives. 

 

This is a new role, driven by the growth of the UK business, the importance of delivering EY’s strategicobjectives, and the anticipated scale of transformational change in the regulatory landscape. The UK Company Secretary with support the work of the UK Board and its subcommittees and our Public Interest Board.

  

What you will do: 

  • Driving Influence & Guiding Excellence: You'll take the lead in building our Governance Frameworks, navigating complexity and addressing the intricacies of reporting compliance for EY LLP.,
  • Technical Mastery: You will spearhead the setting up systems for document management and reporting processes to facilitate and help us ensure consistent communications with regulators.
  • Fostering Growth: Identify opportunities for growth within our team by pinpointing skills gaps, and then deliver targeted training and communication to elevate our capabilities.
  • Documenting Precision: Our company secretarial filings and other technical documentation will be meticulously maintained, ensuring precision and adherence to best practices.
  • Adapting to Change: In a world of ever-evolving legislative and regulatory changes, your role will be instrumental in overseeing updates and amendments to our governance frameworks, including our audit operational separation, the public interest board, ensuring we remain compliant and ahead of the curve in response to legislative and regulatory shifts.
  • Foreseeing Opportunities: Stay ahead of the game by conducting horizon scanning for pivotal regulatory updates and significant regulatory developments, and effectively disseminate this knowledge to our team.
  • Strategic Collaboration & Expert Support: As a trusted colleague, you will provide indispensable support to the UK General Counsel, particularly in matters concerning Governance, reporting compliance, internal policy, company secretarial and other consultations as deemed necessary.
  • Versatile Contribution: Beyond your core responsibilities, you'll also be an invaluable resource stepping in seamlessly to assist with various ad hoc projects as they arise.

  • Proven track record in building a Governance Framework, whilst cultivating and nurturing robust, trusted business relationships.
  • Extensive knowledge and insights into the evolving regulatory landscape of Corporate Governance.
  • High degree of personal drive and motivation to succeed.
  • Proficient at establishing an effective network within a large organization, strategically increasing visibility and engagement while tailoring consultations and service offerings.
  • Well-developed oral and written communication skills.
  • Ability to present effectively and incisively.
  • Proactive team player/team leadership and influence skills.
  • Robust programme and project management skills; with the ability to triage based on business needs and risk.
  • In-depth understanding and commitment to the continued development and improvement and best practice in corporate controls.

 

To qualify for the role you must be:

Commercially astute / business aware:

  • Will make significant contributions to leadership and have well developed technical skills
  • Possess a high degree of professionalism
  • Will have credibility and business, both governance and regulatory based, insight that can be demonstrated to partners and Independent Non-Executives.

 

Excellent interpersonal, presentation and selling skills:

  • Excellent relationship builder and able to utilise relationships to establish and develop rapport with legal, governance and leadership stakeholders
  • Will be very perceptive, able to read people and an ability to communicate a message effectively
  • Genuine project leadership and management capabilities

 

Ability to quickly understand complex issues across a Governance Framework:

  • Ability to analyse and present solutions in many and varied business scenarios
  • Project management skills with a growth mindset
  • Capability to comprehend EY’s eco system across our Service lines and competencies and translate these to solutions which add value and benefit our Corporate Governance frameworks.

 

Ideally, you’ll also have

  • Minimum of 10 years’ experience as a qualified lawyer (not essential) ideally in a professional services environment
  • Fellow of the Chartered Governance Institute UK & Ireland (ICSA).
  • Proven ability to liaise and influence at the most senior level. 
  • Succinct and structured oral and written communications skills with proven ability to explain complex concepts in a crisp, clear, and concise manner. 
  • Ability to proactivity identify, define and solve complex problems that impact the Governance Frameworks and direction of the wider business. 
  • Confident in building both internal and external networks to bring insights and help shape a point of view.
  • Ability to take ownership for delivering customised / highly complex projects with a high degree of  autonomy as well as managing multiple projects simultaneously.
