Assistant Company Secretary
Location: White City, London
Duration: 6 months initially
Department: Corporate Compliance Team- Company Secretariat Department
Hybrid: 3 days per week in the office
Rate: £450.00 - £650.00 per day pay depending on experience, inside IR35, umbrella.
Working hours: 35 hours per week
Reed Professional Services is a Management Consultancy, technology services, and outsourcing company specializing in IT, financial services, and associated sectors. We're currently working with a large-scale media organization who are looking for an Assistant Company Secretary to support the Deputy Company Secretary in ensuring corporate compliance across the Organisation. The Assistant Company Secretary will be supporting the Board of our Client's Commercial Limited, including attending the board and committee meetings to take minutes. Furthermore, project managing the Statutory Accounts project for the Client.
Required skills for this role include:
- Excellent minute writing is required and attending Commercial Board.
- Demonstrable experience in communicating effectively and persuasively with Senior Stakeholders.
- Provide expert company secretarial advice on various subjects, such as drafting, reviewing, and executing company documents, forms, applications, resolutions, and other related documents, in compliance with local formalities.
- A high level of integrity, discretion, and confidentiality, with the ability to handle sensitive and confidential information appropriately.
- Good knowledge of statutory obligations required by the UK Companies Act.
- Understanding of the statutory accounts process.
- Manage the relationship with the Finance and Treasury Operations to obtain corporate approvals required to manage bank accounts for Group companies.
- Work closely with the team members to ensure that statutory obligations are met within the given timeframe.
- Facilitate corporate approvals while maintaining due process.
- Ensure the accuracy of company records, mostly held in Diligent Entities.
- Manage and maintain corporate registers for powers of attorney, parent company guarantees, authorized signatories, authorized representatives, charges, etc.
- Ensure the smooth flow of information to the Client's oversight boards.
- Familiarity with a board portal (Board Intelligence, Diligent Boards, etc).
