About the team

This role is within our Entity Governance and Compliance (“EGC”) team as a Global Governance and Compliance Specialist, where we have been engaged to provide Governance and company secretarial support on a global basis for multinational groups, usually headquartered in the UK or the US.

About the role

As a Governance and Compliance Specialist you will work alongside a dedicated team of professionals within our Legal Operations team, which helps our clients with complex business processes across a number of areas with a specific focus on risk, legal and Compliance.

Skills and Experience:

  • Experienced corporate governance or company secretary or an operations or project management role within a global legal or compliance environment.

  • Senior stakeholder management experience

  • Excellent organisational, prioritisation and problem solving skills.

  • Experience of working in a process driven environment and balancing multiple priorities and deadlines.

  • An inquisitive nature which is inclined to investigate, identify issues and solve problems.

  • ICSA: CGI qualification or MSc Management and Corporate Governance.

Responsibilities:

  • Manage relationships and be the dedicated day-to-day contact for our global clients.

  • Coordinate client projects globally working with PwC’s Entity, Governance and Compliance (EGC) global network which covers 130+ countries around the world.

  • Work closely with the Governance Relationship Manager (“GRM”) and a dedicated team of 60+ corporate Governance and Compliance Specialists based across London, Birmingham, Manchester and Belfast.

  • Ensure that we are delivering support through this network of teams in accordance with the Global Operating Frameworks and KPIs as agreed with our clients.

  • Assist in the tracking, monitoring and updating of compliance trackers, and escalating any upcoming or lapsed deadlines to the GRM.

  • Provide regular reporting to each client on the current status of compliance work and any corporate activities we are providing globally.

  • Assist with UK statutory compliance matters including the preparation and filing of confirmation statements and dormant accounts, drafting of minutes, incorporation of entities, director and officer changes, share allotments and transfers, and other ad hoc tasks such as the drafting of powers of attorney and the conducting of entity health checks.

  • Escalate client queries and issues to the GRM as appropriate and assist in their resolution.
    Maintain PwC’s proprietary global company secretarial software as well as third party legal entity management databases such as Diligent Entities or GEMs.

  • Assist the GRM in the review of WIP and billing trackers for the timely preparation of client invoices.

  • Attend and participate in regular team meetings.
