As Company Secretary, you’ll ensure SBG complies with financial and legal requirements, as well as maintaining our high standards of corporate governance. You will develop close working relationships across the group with executive and non-executive Directors, and internal teams such as Legal, Regulatory Services, Risk, Data Protection and external suppliers.
Key Responsibilities:
- Drafting agendas, preparing board packs, taking minutes at meetings and following up on actions
- Maintaining corporate governance policies, making sure they are kept up to date and referred to the appropriate committee for approval
- Facilitate good communication between the board, committees, senior management and non-executive directors, and shareholders
- Monitor changes in relevant legislation and the regulatory environment and take appropriate action
- Statutory compliance, ensuring all filings are made with Companies House
- Dealing with correspondence, collating information and writing reports; ensuring decisions made are communicated to the relevant company stakeholders
- Liaising with external advisers, such as lawyers and auditors
- Facilitate the nominations and remunerations committees
- Manage group insurances
Required Skills/Experience:
- ICSA or equivalent
- Excellent verbal and written communication skills
- Attention to detail and a well-organised approach to work
- Keen interest in staying current with legislation
- The ability to prioritise work and to work well under pressure
- Confidence to provide support to company staff and board members
- Integrity and discretion when handling confidential information
- Commercial awareness
- Stakeholder management
