Role Objective: The Legal Department in London consists of around 13 Lawyers providing legal support principally to the Financial Markets and Wholesale Lending businesses of ING in London. You will be providing general legal and associated advice and support to the Lending Services activities of ING's Wholesale Banking business.
Main Duties and Responsibilities of Role:
- Provide general legal and associated advice and support to the Lending Services activities of ING's Wholesale Banking business, principally in connection with ING's Acquisition Finance (AF) business, and principally in the UK and France regions but also in other ING locations, including advice on transactions and product development, as well as guidance on domestic and cross-border issues.
- Review, advise on, draft and/or negotiate general AF lending documentation which has been negotiated by the deal teams and their appointed external legal advisers, in order to give internal sign off, by confirming that the documentation accords with the credit approval and internal policies and procedures, and includes features acceptable to ING.
- Review and comment on ancillary documentation, including release and reliance letters, hold harmless letters, confidentiality agreements, legal opinions, mandate documents, commitment documentation and term sheets in relation to proposed transactions and, to the extent necessary, to assist with drafting documentation.
- Identify unusual or "off-market" provisions during the course of negotiation and documentation review and bring them to the attention of the business and risk management.
- Draft, review and comment on template documentation, standard terms and conditions and policy documentation used by ING.
- Participate in negotiations, conference calls and meetings in connection with potential and live transactions as necessary.
- Prepare, deliver and arrange legal training and keep internal clients advised of relevant legal developments and relevant current market trends.
- Liaise as necessary with external counsel.
- Seek and receive legal advice on behalf of ING and communicate that advice to the ING management.
Required Qualifications and Experience
Qualification/Education: Degree, qualified English or other common law solicitor or barrister.
Experience:
- Previous experience in advising in all or most of the areas referred to in the Job Specification.
- Minimum of 3 years post-qualification experience working for a magic circle or equivalent law firm or in-house for a leading international wholesale bank in these areas.
Personal Competencies: A confident, articulate personality, good at building client relationships, and able to take responsibility for, and prioritise, their workload without extensive supervision.
