Job description

Reporting to the Finance Director/ Company Secretary, this is an exciting opportunity for someone who is passionate about a career in governance. The role is home-based (30 hours per week (0.8 FTE)) although occasional in-person attendance at key meetings will be required.

In this crucial role you will have significant oversight of a wide range of governance matters and manage the production of the organisation's Annual Report and Accounts. If you are passionate about governance and highly organised we'd love to hear from you.

About the Role:

This role is home-based (must be based in England or Wales) with occasional travel to meetings. The role is for 30 hours per week (0.8 FTE) with some flexibility around the days/hours worked. As Assistant Company Secretary you will:

  • Assist the Company Secretary in developing & implementing a strong corporate governance framework, robust systems & processes, covering all aspects of corporate governance & company secretarial matters
  • Act as secretary to one board, four sub-committees/ panels, the senior management team meetings & other ad hoc meetings
  • Lead on the recruitment & induction of new trustees & committee members
  • Draft relevant documentation such as written resolutions & ensure adherence to the organisation's articles of association
  • Manage production of Annual Reports and Accounts
  • Support the Company Secretary in administrative tasks relating to the oversight & submission of key returns and information submissions as well as other trustee admin support.

You will need:

  • To be Chartered Governance Institute (ICSA) qualified, or part qualified with demonstrable experience OR have relevant company secretarial/corporate governance experience with a willingness to study towards qualification.
  • To demonstrate experience of continual improvement of corporate governance systems or processes.
  • Strong communication skills with the ability to interact confidently with stakeholders at a senior level.
  • Excellent written skills with demonstrable experience of report writing and minute-taking.
  • Excellent digital skills including the use of technology, video-conferencing software and Microsoft Office packages.
  • The ability to maintain high levels of confidentiality and discretion as appropriate.
  • To be highly organised, thorough, demonstrating excellent attention to detail and a proactive, flexible approach.
